The aim of this study is to design a corporate governance model with a focus on the evaluation of managerial performance in the East Azerbaijan Province Water and Wastewater Company. This research adopts a developmental approach and employs a mixed-methods design (qualitative–quantitative). In the qualitative phase, data were collected through semi-structured interviews with 12 organizational and academic experts selected via purposive sampling. The reliability of the data was confirmed using the test-retest method. In the quantitative phase, a questionnaire with a reliability coefficient of 0.925 was distributed among 284 experts within the company who were familiar with corporate governance concepts. The data were analyzed using SPSS and LISREL software.
Findings revealed that the proposed model consists of seven main components and seventeen sub-dimensions:
1. Governance and Supervisory Structure (transparency and reporting, accountability and responsibility, board independence and effectiveness);
2. Managerial Performance (financial performance, operational performance, productivity enhancement);
3. Social and Environmental Responsibility (social responsibility, commitment to environmental protection, public education);
4. Technological Capacity and Innovation (adoption of modern technologies, digital systems, managerial innovation);
5. Organizational Culture (organizational values, professional ethics);
6. Human Resource Development and Talent Management (empowerment, data-driven decision-making, work-life balance).
The validity of the model was confirmed through structural equation modeling (SEM). The proposed framework can enhance transparency, accountability, and managerial effectiveness in service-oriented organizations and offers a localized governance model applicable to similar companies.
